Terms of Service

These Terms of Service ("Terms") govern access to and use of the Health-Soft practice-management platform (the "Service"), operated by HEALTH-SOFT, Jaipur, Rajasthan ("Health-Soft", "we", "us"). By creating an account or using the Service, a dental clinic ("Clinic", "you") agrees to these Terms.

1. The Service

Health-Soft provides subscription-based practice-management software for dental clinics, including WhatsApp-based appointment booking, calendar and staff tools, and — depending on subscription tier — clinical record, laboratory, inventory, and analytics features, as described on our Pricing page.

2. Subscription tiers and billing

The Service is offered in tiers (Tier 1, Tier 2, Tier 3), each unlocking additional modules as described on the Pricing page. Subscription fees are billed on the cycle selected at signup and are non-refundable except as required by law. We may change tier pricing prospectively with reasonable notice; existing billing cycles are not affected mid-cycle.

3. Clinic accounts and responsibilities

The Clinic is responsible for the accuracy of information entered into the Service, for maintaining the confidentiality of staff login credentials, and for ensuring staff granted access act within their assigned roles. The Clinic is the data fiduciary for its Patients' personal data and is responsible for having a lawful basis (including, where required, patient consent) to collect and share that data through the Service.

4. WhatsApp messaging

Where enabled, appointment booking and reminders are delivered through the WhatsApp Business Platform, subject to Meta's WhatsApp Business Policy and Commerce Policy in addition to these Terms. The Clinic agrees not to use WhatsApp messaging through the Service for unsolicited marketing or any purpose that violates Meta's policies, and remains responsible for the content of messages it sends to Patients.

5. Patient and clinical data

As between Health-Soft and the Clinic, the Clinic owns all patient and clinical data entered into the Service. Health-Soft processes this data solely to provide the Service and in accordance with our Privacy Policy, and will not use it for any other purpose, including training models on patient data without the Clinic's explicit consent.

6. Acceptable use

You agree not to misuse the Service, including by attempting to access another Clinic's data, reverse-engineering the platform, or using the Service to store or transmit unlawful content.

7. Intellectual property

Health-Soft and its licensors retain all rights, title, and interest in the Service, excluding Clinic and Patient data. Nothing in these Terms transfers any Health-Soft intellectual property to the Clinic.

8. Availability and support

We aim to keep the Service available at all times but do not guarantee uninterrupted availability. Planned maintenance will be communicated to Clinics in advance where practical.

9. Limitation of liability

To the maximum extent permitted by law, Health-Soft's aggregate liability arising from these Terms or use of the Service is limited to the subscription fees paid by the Clinic in the three months preceding the claim. Health-Soft is not liable for indirect, incidental, or consequential damages.

10. Termination

Either party may terminate a subscription in accordance with the notice period stated at signup. On termination, the Clinic may export its data for a reasonable period before it is deleted from the Service.

11. Governing law

These Terms are governed by the laws of India, and disputes are subject to the exclusive jurisdiction of the courts at [JURISDICTION_CITY], India.

12. Changes to these Terms

We may update these Terms from time to time. Continued use of the Service after an update constitutes acceptance of the revised Terms.
